Ownership
UmpireScore.com ("Platform," "Website," "UmpireScore," "we," "our," or "us") is owned and operated by Claims Appraisal, a business operating under the ownership of Wise Guys Consulting, Inc., a Texas corporation, together with its affiliates, successors, and assigns.
Claims Appraisal is a registered assumed name (DBA) of Wise Guys Consulting, Inc.
All references to "UmpireScore," "Claims Appraisal," "we," "our," or "us" within these Terms and Conditions shall refer collectively to Wise Guys Consulting, Inc., doing business as Claims Appraisal, and its officers, directors, employees, contractors, agents, affiliates, successors, and assigns.
Platform Operator
UmpireScore.com is a technology platform owned and operated by Claims Appraisal. The Platform provides tools for case management, document storage, communication, collaboration, education, professional networking, and related services.
The operation of the Platform does not create an umpire-appraiser relationship, attorney-client relationship, public adjuster-client relationship, appraisal appointment, arbitration appointment, fiduciary duty, agency relationship, or any other professional relationship between Claims Appraisal, Wise Guys Consulting, Inc., and any user of the Platform.
Neither Claims Appraisal nor Wise Guys Consulting, Inc. becomes a participant in any appraisal, arbitration, mediation, insurance claim, dispute, or legal proceeding solely because the matter is hosted, discussed, stored, or managed through the Platform.
Governing Law and Venue
These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles.
Any dispute, claim, controversy, action, or proceeding arising out of or relating to these Terms and Conditions, the Platform, any services provided through the Platform, or a user's use of the Platform shall be brought exclusively in the state courts located in Tarrant County, Texas, or the United States District Court having jurisdiction over Tarrant County, Texas.
Each user irrevocably consents to the exclusive jurisdiction and venue of such courts and waives any objection based upon venue, forum non conveniens, personal jurisdiction, or any similar doctrine.
Informal Dispute Resolution
Before filing any lawsuit, the parties agree to make a good-faith effort to resolve the dispute informally. A party seeking relief must provide written notice describing the dispute and allow at least thirty (30) days for the parties to attempt resolution before initiating legal proceedings.
Attorneys' Fees
In any action arising from or relating to these Terms and Conditions or the use of the Platform, the prevailing party shall be entitled to recover its reasonable attorneys' fees, court costs, expert witness fees, and other litigation expenses, to the extent permitted by law.
Class Action Waiver
To the fullest extent permitted by applicable law, users agree that any claims against UmpireScore.com, Claims Appraisal, or Wise Guys Consulting, Inc. shall be brought solely on an individual basis and not as part of any class action, collective action, representative action, or mass proceeding.
Corporate Disclosure
For legal and administrative purposes, UmpireScore.com is operated by Claims Appraisal, an assumed name (DBA) of Wise Guys Consulting, Inc., a Texas corporation. Any legal notices, claims, demands, or proceedings relating to the Platform shall be directed to Wise Guys Consulting, Inc.
